Earn Partner Program — Terms & Conditions

1. What is the Earn Partner Program?

The Earn Partner Program ("Program") is a commission-based business partnership offered by Milk Manager 24 (operated by Kansaraix). Under this Program, an approved Partner ("Subadmin") can:

• Create and manage shopkeeper accounts on the Milk Manager 24 platform on behalf of dairy businesses in their region or network.
• Assist shopkeepers with onboarding, account setup, and subscription management.
• Earn a commission credited to their internal digital wallet, based on the billing activity of shopkeepers they have onboarded.
• Request withdrawal of earned commissions via Bank Transfer or UPI through the platform's Wallet module.

2. Eligibility to Join

• You must be at least 18 years of age.
• You must be a resident of India with valid identity proof and a valid bank account or UPI ID for receiving payouts.
• You must not have been previously terminated or banned from the Milk Manager 24 platform.
• You must not operate more than one Partner account. Duplicate Partner accounts will be terminated without refund of any wallet balance.
• The Company reserves the right to accept or reject any Partner application at its sole discretion, without providing a reason.

3. Registration Process

• Registration as a Partner is done through the public-facing Earn Partner page by submitting your name, email address, mobile number, and a chosen password.
• Upon successful registration, you are auto-logged in and assigned a "Subadmin" role within the platform.
• You agree that all information provided during registration is accurate, truthful, and complete. Providing false information is grounds for immediate termination.
• Registration is currently free of charge. The Company reserves the right to introduce screening or verification steps in the future.

4. Responsibilities of a Partner

As an Earn Partner, you agree to:

• Actively identify and onboard legitimate dairy shopkeepers in your area who can benefit from the Milk Manager 24 platform.
• Provide accurate and complete information when creating shopkeeper accounts (name, shop name, email, password).
• Not create fake shopkeeper accounts, test accounts beyond those permitted by Admin, or accounts for businesses that do not genuinely exist or intend to use the platform.
• Truthfully represent the features and pricing of the Milk Manager 24 platform to prospective shopkeepers. You may not make promises on behalf of the Company that are not published on the official platform.
• Assist the shopkeepers you onboard with basic platform questions where possible, directing complex issues to official support.
• Not engage in any misleading, deceptive, or high-pressure sales tactics when onboarding shopkeepers.
• Maintain confidentiality of the platform's pricing strategy, admin-assigned commission rates, and any non-public information shared with you.
• Ensure that shopkeepers you onboard have provided their own customers' data lawfully and with consent (as per the Privacy Policy obligations on shopkeepers).

5. Commission Structure

5.1 How Commission is Earned

• A Partner earns commission when a shopkeeper created by that Partner on the platform has an active billing cycle and a qualifying payment event is recorded.
• The specific commission amount or percentage per qualifying event is determined by the Admin and may be set individually per Partner.
• Commission is automatically credited to the Partner's digital wallet by the platform system upon a qualifying event.

5.2 Commission Rate

• Commission rates are not fixed across all Partners. Your applicable rate is set by the Platform Admin based on your agreement, region, or performance.
• You will be informed of your commission rate by the Admin upon or after registration.
• The Company reserves the right to modify commission rates with 7 days' prior notice to the affected Partner.
• The Company does not guarantee any minimum monthly earning or minimum commission rate under this Program.

5.3 Commission Reversals

• Credited commissions may be reversed by the Admin within 30 days of the original credit in cases of: billing errors, fraudulent payment records by the linked shopkeeper, policy violations by the Partner, or technical system errors.
• You will be notified of any reversal via your registered email address.

6. Partner Wallet & Payouts

6.1 Digital Wallet

• Each Partner has an internal digital wallet within the platform that tracks their accumulated commission balance across two categories:
  • Total Earned: The cumulative gross commission credited since account creation.
  • Available Balance: The amount currently eligible for withdrawal (after deducting pending or past withdrawals).
• The Wallet is an internal accounting ledger and not a regulated financial product or bank account.

6.2 Withdrawal Requests

• To request a withdrawal, navigate to the Wallet section in your Partner dashboard, enter the amount (within your available balance), select Bank Transfer or UPI, and submit.
• You must provide accurate details: Bank Account Holder Name, Bank Account Number, IFSC Code (for bank transfer), or UPI ID (for UPI transfer).
• The Admin will review and process your withdrawal request within 72 business hours of submission.
• A minimum withdrawal amount may apply (displayed in the Wallet interface).
• Payout is transferred via NEFT/IMPS (bank transfer) or UPI as selected.

6.3 Tax Obligations

• Commission income earned through this Program may be subject to income tax in India. This may include Tax Deducted at Source (TDS) under applicable sections of the Income Tax Act, 1961 (such as Section 194H — Commission or Brokerage, or Section 194J — Professional Services).
• If TDS is applicable, it will be deducted from your payout and a TDS certificate (Form 16A) will be provided as required by law.
• You are solely responsible for declaring and paying any applicable income tax on your commission earnings. The Company provides earnings records within the platform for your reference.
• The Company is not a tax advisor. Please consult a qualified CA or tax professional for advice specific to your situation.

7. Independent Contractor Status

• Your participation in the Earn Partner Program does not make you an employee, agent, representative, or business partner of Milk Manager 24 or Kansaraix.
• You are an independent contractor with no entitlement to employee benefits, EPF, ESIC, gratuity, or any other employment benefits.
• You may not represent yourself as an employee or official representative of Milk Manager 24.
• You are free to engage in other business activities that do not conflict with or violate these Terms.

8. Prohibited Activities

Partners must not:

• Create fictitious, duplicate, or fraudulent shopkeeper accounts to inflate commission earnings.
• Onboard shopkeepers using another shopkeeper's credentials or email address without that person's explicit knowledge and consent.
• Conduct any activity that constitutes fraud, deception, or misrepresentation to the Platform, to shopkeepers, or to their customers.
• Share your Partner account login credentials with any other person.
• Solicit or recruit other Partners' shopkeepers to transfer them to your account.
• Make public statements (on social media or otherwise) claiming specific earning guarantees from this Program without prior written approval from the Company.
• Use the platform for any illegal purpose, including money laundering or tax evasion.

9. Shopkeeper Data Confidentiality

• As a Partner with Subadmin access, you can view a list of shopkeepers you have created and their basic information.
• You may not access, share, or misuse the personal or business data of any shopkeeper or their customers for any purpose outside the intended use of the platform.
• Any misuse of shopkeeper data (e.g., contacting their customers for personal business purposes) is a breach of this Agreement and may result in legal action under applicable data protection laws.

10. Modification & Termination of Program

• The Company may modify, suspend, or permanently terminate the Earn Partner Program at any time, with or without notice, for business or legal reasons.
• In the event of Program termination, active Partners will be given a reasonable opportunity to withdraw their available wallet balance before accounts are closed, subject to verification.
• The Company may terminate an individual Partner's account at any time for violation of these Terms or the general Terms of Service, without liability to the Partner.
• A Partner may exit the Program at any time by contacting support@milkmanager24.com and requesting account closure. Any verified available wallet balance will be processed for payout prior to closure.

11. Limitation of Liability

• The Company shall not be liable for any loss of commission earnings arising from changes to the commission structure, shopkeeper inactivity, account suspension, or program modification.
• The Company shall not be liable for delays in withdrawal processing caused by banking infrastructure, public holidays, or force majeure events.
• The Company's total liability to any Partner shall not exceed the wallet balance available at the time of the event giving rise to the claim.

12. Governing Law & Dispute Resolution

• These Terms shall be governed by the laws of India.
• Any dispute shall first be addressed through amicable negotiation via support@milkmanager24.com.
• Unresolved disputes shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration being in India.
